- Information you provide. We may collect and store any personal information you enter on our website or provide to us in some other manner. This includes identifying information, such as your name, address, e-mail address, telephone number, credit card information, and other personally identifiable information.
- Information from other sources. We may also periodically obtain both personal and non-personal information about you from other IAC businesses, business partners, contractors and other third parties. Examples of information that we may receive include: updated delivery and address information, purchase history, and additional demographic information.
- Information collected automatically. We automatically collect information from your browser when you visit our website. This information includes your IP address, your browser type and language, access times, the content of any undeleted cookies that your browser previously accepted from us (see "Cookies" below), and the referring website address.
- Cookies. When you visit our website, we may assign your computer one or more cookies, to facilitate access to our site and to personalize your online experience. Through the use of a cookie, we also may automatically collect information about your online activity on our site, such as the web pages you visit, the links you click, and the searches you conduct on our site. Most browsers automatically accept cookies, but you can usually modify your browser setting to decline cookies. If you choose to decline cookies, please note that you may not be able to sign in or use some of the interactive features offered on our website.
- Other Technologies. We may use standard Internet technology, such as web beacons and other similar technologies, to track your use of our site. We also may include web beacons in promotional [or other] e-mail messages or newsletters to determine whether messages have been opened and acted upon. The information we obtain in this manner enables us to customize the services we offer our website visitors to deliver targeted advertisements and to measure the overall effectiveness of our online advertising, content, programming or other activities.
- Information collected by third-parties. We may allow third-parties, including our authorized service providers, IAC companies, advertising companies, and ad networks, to display advertisements on our site. These companies may use tracking technologies, such as cookies, to collect information about users who view or interact with their advertisements. Our website does not provide any personal information to these third parties. This information allows them to deliver targeted advertisements and gauge their effectiveness. You may choose whether to receive some Interest-based Advertising by submitting opt-outs. Some of the advertisers and Service Providers that perform advertising-related services for us and third parties may participate in the Digital Advertising Alliance’s (“DAA”) Self-Regulatory Program for Online Behavioral Advertising. To learn more about how you can exercise certain choices regarding Interest-based Advertising, including use of Cross-device Data for serving ads, visit http://www.aboutads.info/choices/, and http://www.aboutads.info/appchoices for information on the DAA’s opt-out program specifically for mobile apps (including use of precise location for third party ads). Some of these companies may also be members of the Network Advertising Initiative (“NAI”). Please be aware that, even if you are able to opt out of certain kinds of Interest-based Advertising, you may continue to receive other types of ads. Opting out only means that those selected members should no longer deliver certain Interest-based Advertising to you but does not mean you will no longer receive any targeted content and/or ads (e.g., from other ad networks). Also, if your browsers are configured to reject cookies when you visit these opt-out webpages, or you subsequently erase your cookies, use a different device or web browser or use a non-browser-based method of access (e.g., mobile app), your NAI / DAA browser-based opt-out may not, or may no longer, be effective.

- communicate with you by e-mail, postal mail, telephone and/or mobile devices or send newsletters about products or services that may be of interest to you from us;
- communicate with you with regard to partially completed service requests;
- develop and display content and advertising tailored to your interests on our site and other sites;
- verify your eligibility and deliver prizes in connection with contests and sweepstakes;
- perform background screening, which may include the use of third parties, on Service Professionals;
- enforce our terms and conditions;
- publicly-display comments, ratings and reviews and other content provided by you;
- manage our business; and
- perform functions as otherwise described to you at the time of collection.
- Authorized service providers: We may share your personal information with our authorized service providers that perform certain services on our behalf. These services may include fulfilling orders, processing credit card payments, delivering packages, providing customer service and marketing assistance, performing business and sales analysis, supporting our website functionality, and supporting contests, sweepstakes, surveys and other features offered through our website or performing background checks of Service Professionals. We may also release information to collection and/or credit agencies for past due Service Professional accounts. These service providers may have access to personal information needed to perform their functions but are not permitted to share or use such information for any other purposes.
- Marketing Affiliates: When you are referred to us via a third party marketing affiliate, we may share your email address, and other information that you provide, to such marketing affiliate.
- Business partners: When you make purchases, reservations or engage in promotions offered through our website or our services, we may share personal information with the businesses with which we partner to offer you those products, services, promotions, contests and/or sweepstakes. When you elect to engage in a particular merchant's offer or program, you authorize us to provide your email address and other information to that merchant.
- Service Professionals. We match your information and service request against our list of Service Professionals. When you submit a service request through our website, you consent to our providing your personal information and request to the Service Professionals we match with your request. Sharing this information with Service Professionals allows them to contact you using the e-mail address or other contact information you provided. In addition, we have other approved contractual partners that fulfill service requests, or that utilize their own Service Professionals to supplement our network, and we share your information with them in order to attempt to provide the services requested. If using our services pursuant to a membership with one of our partners, CraftJackmay share your service request activity information with such partner.
- Direct mail partners. From time to time we may share our postal mailing list with selected providers of goods and services that may be of interest to you.
- Other IAC businesses. We are part of the IAC family of businesses (go to iac.com for a listing of these businesses). We may share information we collect, including personal information, with the IAC companies. Sharing information with our IAC companies enables us to provide you with information about a variety of products and services that might interest you.
- Other Situations. We also may disclose your information:
- In response to a subpoena or similar investigative demand, a court order, or a request for cooperation from a law enforcement or other government agency; to establish or exercise our legal rights; to defend against legal claims; or as otherwise required by law. In such cases, we may raise or waive any legal objection or right available to us.
- When we believe disclosure is appropriate in connection with efforts to investigate, prevent, or take other action regarding illegal activity, suspected fraud or other wrongdoing; to protect and defend the rights, property or safety of our company, our users, our employees, or others; to comply with applicable law or cooperate with law enforcement; or to enforce our website terms and conditions or other agreements or policies.
- In connection with a substantial corporate transaction, such as the sale of our business, a divestiture, merger, consolidation, or asset sale, or in the unlikely event of bankruptcy.
- At any time a consumer user can choose to no longer receive commercial or promotional emails or newsletters from us by accessing your user account and opting out. You also will be given the opportunity, in any commercial e-mail that we send to you, to opt out of receiving such messages by simply clicking on the unsubscribe link in the footer of any email from us or contact us at support@craftjack.com. It may take up to 10 days for us to process an opt-out request. We may send you other types of transactional and relationship e-mail communications, such as service announcements, administrative notices, and surveys, without offering you the opportunity to opt out of receiving them.

CraftJack Customer Terms & Conditions

- By enrolling in the Company's program described herein, establishing an account with us ("Enrollment"), and using our lead referral service ("our Service"), you agree to these Terms and Conditions, forming a legally binding contract with us which controls your use of our Service and the Website
- We developed and maintain this Website and other websites to obtain requests ("Leads") from individuals or entities ("Consumers") that request construction, home and building repair work or services ("Construction Services"), which Leads we sell to a network of qualified contractors who subscribe to our service. We may also obtain Leads from our affiliates or third parties, and provide your contact information, as shown in your Profile, to a Consumer.
- Upon Enrollment, you will complete our standardized Enrollment form, providing information about yourself and your company, which information you will then save to our Website. You will indicate the particular Construction Services that you are willing and able to provide, and the zip code(s) or geographic area(s) in which you are willing and able to provide Construction Services ("Service Area"). We will use such information to create your Website profile (your "Profile"). You will also register a credit card and authorize us to charge all amounts billed to you under this Agreement to such credit card.
- Before Enrollment is finalized, and periodically during your Subscription (at CraftJack’s sole discretion), the owner or principal of your company will be required to pass a background check. (See Section 2.) Failure of any such background check will be cause for CraftJack to refuse to Enroll your company or terminate any current Subscription your company may have with CraftJack.
- AUTHORIZATION: You hereby: (a) represent that you are the owner or principal of your company with authority to bind your company; and (b) authorize CraftJack to provide your home mailing address, social security number, date of birth (“Personal Information”) and any other information you provide to us to a third-party information collection service entity selected by CraftJack, at any time while you are Enrolled with us or are using our Service, in order to verify, obtain copies of records, and gather any information pertaining to your criminal record, as well as financial screening (including but not limited to searches for bankruptcies, liens and civil judgments) for the purpose of CraftJack's evaluating its desire to enter into or continue a contractual business arrangement with you. CraftJack will share this Personal Information only with third parties designated to carry out the background checks and with CraftJack’s affiliates.
- DISCLOSURE: CraftJack hereby discloses to you that a consumer report, as defined by the Fair Credit Reporting Act, may be obtained for the purpose of advertising with CraftJack, its affiliates, representatives, or agents. The undersigned hereby authorizes the procurement of the consumer report. Information from the consumer report will not be used in violation of any applicable federal, state, or local equal employment opportunity law or regulation. You understand that your date of birth will be used solely for identification purposes and will not be taken into account in any advertising decisions.
- CORPORATE ACCOUNT EXEMPTION: Corporate Accounts are large regional or national companies that typically have hundreds or thousands of employees or independent contractors and that have a single corporate account that Enrolls in CraftJack’s Services on behalf of its local offices, franchisees, or dealers (“Corporate Businesses”). If your business is a Corporate Account or Corporate Business, that designation will be indicated on your business’s profile page. If you are a Corporate Account, you are exempt from the CraftJack Background Check Program described in Section 2.1. However, you hereby represent that you, any predecessor entities of your company, any other majority shareholders, partners or members, and your company, are free from any felony criminal convictions. If, at any time during your Enrollment with CraftJack, you, any predecessor entities of your company, any other majority shareholders, partners or members or your company, should have a felony conviction entered against such party, you will promptly notify CraftJack. You further represent that you have not been sanctioned or penalized by any governmental authorities in connection with your provision of services to any of your customers, and that you have not been denied membership to (or had your membership revoked from) any professional industry associations. You authorize CraftJack to verify that all of the above representations are truthful and accurate at any time while this Agreement remains in effect.
- Upon Enrollment, we will initiate an account for you (your "Account") and, at your selection, debit your Credit Card either in the amount of four hundred dollars ($400.00), which includes $100 of free lead credit, or debit your Credit Card in the amount of one hundred dollars ($100.00), which includes no lead credit. All amounts prepaid to your Account and all credits to your Account are non-refundable.
- The purchase price of each Lead is based upon the type of Construction Services requested by a Consumer, as set forth in the pricing schedule on the Website. You will be notified of any changes to the pricing schedule not less than seven (7) days prior to the effective date of any such change. Upon Enrollment, you will select the maximum dollar value of Leads that you agree to purchase each month ("Monthly Lead Budget"). You may change your Monthly Lead Budget by modifying your Account. We will automatically provide you with Leads up to the dollar value established by you from time to time. To ensure that all funds in your account are used to purchase leads, you agree and authorize us, in our sole discretion, to provide leads for you with a value up to twenty dollars ($20) in excess of your Monthly Lead Budget. We may periodically provide discounts and incentive programs to you, the terms of which shall be limited to that particular discount or incentive program which shall not otherwise modify the terms of these Terms and Conditions.
- We will issue an invoice to you whenever your outstanding balance due on your Account exceeds Twenty Dollars ($20.00) or, in our sole discretion, some higher amount for which you shall from time to time qualify based upon your good payment history. We will also issue an invoice to you when you begin any month with a balance due. You can access an electronic statement of your Account through the Website. Past due balances will be subject to a late charge of Nine Dollars ($9.00) plus two percent (2%) per month or the maximum amount permitted by law. In addition, each returned payment shall incur a twenty dollar ($20.00) fee. We may turn over a past-due account to a third-party collection agent or counsel and file a report with credit rating agencies.
- We have no obligation to provide you with a refund or credit for any Leads, whether or nota Consumer elects to use your Construction Services. In our sole discretion, we may issue acredit to your Account, if:
- You receive one or more Leads in the wrong Construction Service category, provided, however, we may adjust the purchase price in lieu of providing a credit;
- You receive a Lead with a non-working or incorrect phone number or incorrect email address or where the Consumer provided a false name; provided, however, we will not providea credit if the Lead does not have the correct address but all other information is correct;
- We determine that the Consumer never requested to be placed in contact with a contractor or sought information through us pertaining to Construction Services; and
- Our system provided a Lead in error.
- All credits to your account shall be issued at the Company's discretion, and only if requested within seventy-two (72) hours after delivery of notification of the Lead to you. Any credit for a Lead shall be deducted from your unpaid invoice in an amount equal to the purchase price of the Lead for which the credit was requested. If the invoice for the lead for which you are requesting credit was already paid, then the credit shall be applied to the current open invoice. No credits will be issued as refunds for leads in which the invoice has already been paid. Notwithstanding any credits to your Account, you acknowledge and agree that you are obligated to pay for all Leads provided by us and credits can only be applied to the future purchase of Leads. By agreeing to these Terms and Conditions, you acknowledge and agree that you understand our refund and credit policy. Any and all fees paid by you to us constitute an advertising fee and shall not be construed to be a referral commission dependent on your successful completion of Construction Services requested by a Consumer. In the event a fee or payment is prohibited by law or violates any applicable law, it shall not be due or payable.
- Lead Credits are issued to a CraftJack member at our discretion and cannot be transferred between accounts or between users. Lead Credits cannot be bartered, exchanged or sold. Lead Credits are a promotional offer and are not payment instruments. Lead Credits are issued without any exchange of money or value from you and you have no vested property right or interest in them. Lead Credits are provided on a promotional basis only, have no cash or other value and cannot be redeemed for cash or its equivalents by themselves. We reserve the right to limit or cancel your Credits in our sole discretion if we determine that you have violated these Terms of Service, or if we terminate your account for any reason. Lead Credits are only valid during your CraftJack membership, and will expire upon membership termination.
- We have developed, own and maintain confidential, proprietary technology and software that determines the distribution of Leads to contractors in our network.
- YOU EXPRESSLY UNDERSTAND AND AGREE TO THE FOLLOWING LIMITATIONS:
- WE DO NOT GUARANTEE TO PROVIDE YOU WITH A PARTICULAR NUMBER OF LEADS;
- WE MAKE NO REPRESENTATIONS OR WARRANTIES AS TO A CONSUMER'S INTEREST, NEED OR DESIRE TO HIRE A CONTRACTOR OR TO HAVE ANY CONSTRUCTION SERVICES PERFORMED;
- WE DO NOT GUARANTEE THE ACCURACY OF A CONSUMER'S CONTACT INFORMATION OR THAT YOU WILL SUCCESSFULLY CONTACT THE CONSUMER.
- THE COMPANY IS NOT A PARTY TO ANY AGREEMENT THAT MIGHT BE REACHED BETWEEN YOU AND ANY CONSUMER, AND YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER TO WORK FOR, OR TO PROVIDE CONSTRUCTION SERVICES FOR, ANY CONSUMER.
- Upon Enrollment, you select the method(s) by which we deliver notification to you of Leads. You acknowledge that some delivery methods depend upon third party technology and agree that we not responsible for the interruption of such technology, or for the results therefrom, including failure to deliver notification of a Lead to you. You understand that you can check for notification of, and information about, a Lead by logging into your Account. Under no circumstances shall we be responsible for lost data relating to any Leads.
- You acknowledge that your prompt contact of Consumer for whom you have been provided a Lead is critical to our business reputation and you thus agree to use your best efforts to contact a Consumer for whom you have been provided a Lead by phone promptly after we deliver notice of such Lead to you, and you further acknowledge that your agreement to promptly contact such Consumers is a material inducement for our agreement to provide Leads to you.
- You understand that we use third party technology to track and create a record of your attempts to call by phone all Consumers for whom you have been provided a Lead and you consent to our use of such technology. Notwithstanding anything in these Terms and Conditions to the contrary, you shall not be eligible to receive any credit if you fail to attempt to contact a Consumer by phone within five (5) Business Hours of delivery of a Lead. Business Hours are defined as any hour between and including 9:00 a.m. and 5:00 p.m. in the Consumer's Service Area.
- You will only be provided with Lead for a Consumers who reside in your Service Area, and you acknowledge that we may sell each Lead with respect to a single Consumer simultaneously to up to three contractors that provide Construction Services in that Consumer's Service Area.
- Consumers may review, comment and rate your work on the Website ("Consumer Content"). We reserve the right to contact any Consumer regarding that Consumer's experience with you. You acknowledge that all Consumer Content is solely the opinion of the person posting the Consumer Content and we disclaim any and all responsibility or liability to you for all Consumer Content posted on the Website. You agree that neither you nor anyone affiliated with you or paid by you, directly or indirectly, will post false, intentionally misleading or defamatory statements in the form of Consumer Content on the Website. We shall have sole discretion whether to remove any Consumer Content.
- Any and all comments you post to the Website (collectively, "Your Comments") shall be owned solely by us, and you grant us a non-exclusive, worldwide, irrevocable, perpetual license to use any and all information and/or images you provide to us to create your Profile, including, but not limited to your name, your company's name, franchise name, photographs, trademarks, logos, trade names or service marks (all of the foregoing, including Your Comments, collectively, "Your Content") and we may use, publish or post Your Content or any part of it at our sole discretion on the Website, in your Profile or in marketing materials and you agree that you are not entitled to receive any compensation for our use of Your Content.
- You represent (i) all of Your Content is accurate and truthful; (ii) any and all photographs that become part of Your Content portray only your Construction Services; and (iii) that no part of Your Content is copyrighted or is otherwise the intellectual property of any other party, and you understand and agree that you will indemnify the Company against all claims of liability, including but not limited to legal costs and/or any judgment or award, that may arise by virtue of your violation, whether or not intentional, of this provision.
- You agree that you will not post false or defamatory statements or to violate any third party's rights, including any breach of confidence, privacy right, right of publicity, or any other rights in Your Comments on the Website. We may reject, remove or redact any of Your Content at our sole discretion.
- 4.5. You may not use any of our trademarked, service-marked or copyrighted material unless you have first been provided prior written authorization by the Company, and such consent by the Company neither conveys any interest in our intellectual property, nor any other intellectual property rights.
- You are expressly prohibited from registering any of our trademarks or domain names.
- You agree that you will not copy, display, publish, post or in any way use the Consumer Content, unless we have consented to such use.
- We may share Your Content with a third-party agent solely to contact you with Leads, and for no other purpose. We reserve the right to disclose your information to our service providers, law enforcement, or government agencies, or in responding to a formal request, such as a judicial proceeding, subpoena, or court order as we, in our sole discretion deem appropriate. In the event of a sale, merger, or acquisition of some or all of the Company's assets, Your Content may be a part of the assets transferred, in which event, we will notify you of any change in ownership of the Company, or in the use of Your Content, and any options you may have regarding Your Content. We may also share aggregated information about users of the Website with third parties.
- We own the Website Content, including but not limited to visual interfaces, interactive features, graphics, design compilation, computer code, products, software, Consumer Content, Your Comments and all other elements and components of our Service and the Website and the copyrights, trademarks, service marks, trade names, and other intellectual and proprietary rights throughout the world associated with the Company, the Website and our Service. You represent and warrant that you are enrolling in our program for the sole purpose of purchasing Leads in accordance with these Terms and Conditions, that you are not a competitor of ours, that we have not previously banned you from use of our Service or the Website and that you will not attempt to circumvent access restrictions, duplicate, create derivatives or reverse engineer the Company's confidential information, proprietary technology, system or software or any of the Website Content or our Service.
- You represent that neither you nor your predecessors in interest, majority or controlling shareholders, members, partners and/or your company ("Related Parties") have, within the most recent two years including this year, filed for bankruptcy, had a civil judgment entered against you or them or had any felony criminal conviction(s), unless you have provided to us a written statement requesting an exception which we may grant at our discretion to authorize you to enroll as a contractor on the Website.
- If at any time during your use of the Website, any of the Related Parties file(s) for bankruptcy or become(s) involved in bankruptcy proceedings, has a civil legal judgment entered against it or is convicted of a felony, you agree to notify us within seven (7) days of such occurrence.
- You are, and at all times will be, properly and fully licensed*, bonded and insured** (at levels in accordance with applicable industry standards) under all applicable laws and trade regulations (and upon request will produce documentation to verify this), and further, that you have not been turned down for insurance coverage related to your provision of services. You will notify us promptly of any such changes to your licensing, bonding or insured status. *If you or your company are operating under a license with special restrictions you agree and represent that you will at all times operate within the guidelines as specified by such restrictions. **This requirement is only applicable to service professionals accepting Leads in the "Moving" category.
- You represent that you are not aware of any past or present investigation of you, or action(s) or sanction(s) against you by any governmental or regulatory authority relating to services provided to your customers, that no professional industry organizations have denied or revoked your membership, that all of your licenses and insurance policies related to Construction Services are current, and that no such licensing authority has either revoked or suspended any of your licenses that are related to Construction Services. You agree to notify us of any changes to your status as represented in this paragraph, and you authorize us to verify that all of these representations are true and accurate.
- You agree to comply at all times with Federal, state and local laws and regulations regarding your performance of Construction Services.
- You agree not to use unethical or deceptive business practices, illegal acts, actions of wrongdoing or dishonesty including, but not limited to, charging any Consumer(s) for the fees you pay to us; charging Consumers a greater fee than your other customers for the same Construction Services.
- You agree that you will not disclose a Consumer's personal information to any third party unless that third party is your employee or subcontractor, your use of the Consumer's personal information is related only to the Construction Services requested by the Consumer, and you have obtained the Consumer's prior consent to disclose such personal information.
- You agree that only you or your representatives acting directly on your behalf will contact and provide Construction Services for any Consumers whose name was given to you as a Lead, and to notify any such representatives of these Terms and Conditions and obtain their Agreement to comply with its terms and conditions. You shall be responsible and directly liable for any representatives acting on your behalf and for any and all of their violations of these Terms and Conditions and their acts or omissions.
- You acknowledge that, except as specifically provided herein, your knowingly sharing, distributing, transferring, or selling any Leads, or the information contained therein, sold by us to you shall constitute a breach of these Terms and Conditions and may also constitute fraud and violate personal privacy rights.
- You agree to maintain accurate and current contact information in your Profile and that we not responsible for a Consumer's inability to contact you.
- YOU UNDERSTAND AND AGREE THAT THE COMPANY IS NOT A PARTY TO ANY CONTRACT OR AGREEMENT RELATED TO ANY CONSTRUCTION SERVICES THAT YOU MAY PROVIDE TO OR ON BEHALF OF ANY CONSUMER, AND YOU EXPRESSLY AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS THE COMPANY, ITS OFFICERS, DIRECTORS, SHAREHOLDERS, SUPPLIERS, PARTNERS, EMPLOYEES, AGENTS AND EACH OF THEIR SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE "INDEMNIFIED PARTIES") FROM AND AGAINST ALL CLAIMS, LIENS, DAMAGES, LIABILITIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO INTELLECTUAL PROPERTY INFRINGEMENT, PERSONAL INJURY, PROPERTY DAMAGE, DECEPTIVE BUSINESS PRACTICES, FRAUD, VIOLATION OF ANY FEDERAL, STATE OR LOCAL LAWS OR REGULATIONS, AND ATTORNEYS' FEES AND COURT COSTS RELATED IN ANY WAY TO YOUR CONSTRUCTION SERVICES WHICH ARE SUBJECT TO THESE TERMS AND CONDITIONS, INCLUDING ANY EXTRA WORK, REGARDLESS OF CAUSE OR ANY OF ITS INDEMNIFIED PARTIES' FAULT OR NEGLIGENCE AND WITHOUT REGARD TO CAUSE OR TO ANY CONCURRENT OR CONTRIBUTING FAULT, STRICT LIABILITY OR NEGLIGENCE, WHETHER SOLE, JOINT OR CONCURRENT, ACTIVE OR PASSIVE BY ANY OF THE INDEMNIFIED PARTIES. WE SHALL NOT BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, PUNITIVE OR SPECIAL DAMAGES, LOST REVENUE, LOST PROFITS OR LOSS OF GOODWILL. THE TOTAL AGGREGATE LIABILITY OF THE COMPANY SHALL NOT EXCEED THE AMOUNT OF FEES ACTUALLY PAID TO US BY YOU DURING THE IMMEDIATELY PRECEDING TWELVE (12) MONTHS, REGARDLESS OF THE BASIS OR FORM OF CLAIM.

We may also, at our discretion and without notice to you, immediately terminate your use of this Website and initiate legal action or proceedings against you to obtain appropriate damages or remedies such as lost revenue, repairs, legal fees, expenses, costs or seek injunctions or equitable relief if we determine that you have misused, or attempted to misuse, the Company's system or database, our Service, Consumers' personal information, or use of the Website for illegal or harmful activities, or breach or violation of these Terms and Conditions.
- You may, at any time, terminate your use of this Website upon the Company's receipt of written notice and such termination shall take effect upon the close of business on the day received. If such notice is received after business hours, then the termination shall take effect the next business day. If you terminate this Agreement, you shall not be entitled to any refunds or credits to your Account or amounts prepaid to the Company.
- If your use of this Website terminates or expires, these Terms and Conditions shall survive with respect to any Leads provided to you during the term of this Agreement, and relationships you may create from those Leads will continue to be governed by these Terms and Conditions, including, but not limited to, any claims that may arise and your obligation to indemnify the Company.
- You agree to be liable for any and all reasonable attorneys' fees and costs that the Company incurs as a result of taking any legal action to enforce these Terms and Conditions, which shall be governed exclusively by the laws of the State of Illinois. You hereby consent and agree that Cook County, Illinois is the exclusive forum for litigation of any claim by your arising hereunder, and you submit to exclusive jurisdiction in the State of Illinois and waive any right to bring a cause of action in any forum outside of Cook County, Illinois. If any provision of these Terms and Conditions is deemed by a court or other authority of competent jurisdiction to be illegal, invalid or in conflict with any Federal or state or local law or regulation, that law or regulation shall supersede and control and any provision herein found to be illegal, invalid or in conflict shall not be enforceable.
- This agreement constitutes a non-exclusive contract to provide our Service to you and you acknowledge that we will enter into other agreements with other contractors that may be providing similar Construction Services.
- Your relationship with the Company shall be as that of an independent contractor and neither party shall hold itself out to be an agent, employee, partner or joint venturer of the other nor shall either party represent itself to have authority to act on behalf of the other.

- By enrolling in the Company's program described herein, establishing an account with us ("Enrollment"), and using our lead referral service ("our Service"), you agree to these Terms and Conditions, forming a legally binding contract with us which controls your use of our Service and the Website
- We developed and maintain this Website and other websites to obtain requests ("Leads") from individuals or entities ("Consumers") that request construction, home and building repair work or services ("Construction Services"), which Leads we sell to a network of qualified contractors who subscribe to our service. We may also obtain Leads from our affiliates or third parties, and provide your contact information, as shown in your Profile, to a Consumer.
- Upon Enrollment, you will complete our standardized Enrollment form, providing information about yourself and your company, which information you will then save to our Website. You will indicate the particular Construction Services that you are willing and able to provide, and the zip code(s) or geographic area(s) in which you are willing and able to provide Construction Services ("Service Area"). We will use such information to create your Website profile (your "Profile"). You will also register a credit card and authorize us to charge all amounts billed to you under this Agreement to such credit card.
- Upon Enrollment, we will initiate an account for you (your "Account") and, at your selection, debit your Credit Card either in the amount of four hundred dollars ($400.00), which includes $100 of free lead credit, or debit your Credit Card in the amount of one hundred dollars ($100.00), which includes no lead credit. All amounts prepaid to your Account and all credits to your Account are non-refundable.
- The purchase price of each Lead is based upon the type of Construction Services requested by a Consumer, as set forth in the pricing schedule on the Website. You will be notified of any changes to the pricing schedule not less than seven (7) days prior to the effective date of any such change. Upon Enrollment, you will select the maximum dollar value of Leads that you agree to purchase each month ("Monthly Lead Budget"). You may change your Monthly Lead Budget by modifying your Account. We will automatically provide you with Leads up to the dollar value established by you from time to time. To ensure that all funds in your account are used to purchase leads, you agree and authorize us, in our sole discretion, to provide leads for you with a value up to twenty dollars ($20) in excess of your Monthly Lead Budget. We may periodically provide discounts and incentive programs to you, the terms of which shall be limited to that particular discount or incentive program which shall not otherwise modify the terms of these Terms and Conditions.
- We will issue an invoice to you whenever your outstanding balance due on your Account exceeds Twenty Dollars ($20.00) or, in our sole discretion, some higher amount for which you shall from time to time qualify based upon your good payment history. We will also issue an invoice to you when you begin any month with a balance due. You can access an electronic statement of your Account through the Website. Past due balances will be subject to a late charge of Nine Dollars ($9.00) plus two percent (2%) per month or the maximum amount permitted by law. In addition, each returned payment shall incur a twenty dollar ($20.00) fee. We may turn over a past-due account to a third-party collection agent or counsel and file a report with credit rating agencies.
- We have no obligation to provide you with a refund or credit for any Leads, whether or nota Consumer elects to use your Construction Services. In our sole discretion, we may issue acredit to your Account, if:
- You receive one or more Leads in the wrong Construction Service category, provided, however, we may adjust the purchase price in lieu of providing a credit;
- You receive a Lead with a non-working or incorrect phone number or incorrect email address or where the Consumer provided a false name; provided, however, we will not providea credit if the Lead does not have the correct address but all other information is correct;
- We determine that the Consumer never requested to be placed in contact with a contractor or sought information through us pertaining to Construction Services; and
- Our system provided a Lead in error.
- All credits to your account shall be issued at the Company's discretion, and only if requested within seventy-two (72) hours after delivery of notification of the Lead to you. Any credit for a Lead shall be deducted from your unpaid invoice in an amount equal to the purchase price of the Lead for which the credit was requested. If the invoice for the lead for which you are requesting credit was already paid, then the credit shall be applied to the current open invoice. No credits will be issued as refunds for leads in which the invoice has already been paid. Notwithstanding any credits to your Account, you acknowledge and agree that you are obligated to pay for all Leads provided by us and credits can only be applied to the future purchase of Leads. By agreeing to these Terms and Conditions, you acknowledge and agree that you understand our refund and credit policy. Any and all fees paid by you to us constitute an advertising fee and shall not be construed to be a referral commission dependent on your successful completion of Construction Services requested by a Consumer. In the event a fee or payment is prohibited by law or violates any applicable law, it shall not be due or payable.
- Lead Credits are issued to a CraftJack member at our discretion and cannot be transferred between accounts or between users. Lead Credits cannot be bartered, exchanged or sold. Lead Credits are a promotional offer and are not payment instruments. Lead Credits are issued without any exchange of money or value from you and you have no vested property right or interest in them. Lead Credits are provided on a promotional basis only, have no cash or other value and cannot be redeemed for cash or its equivalents by themselves. We reserve the right to limit or cancel your Credits in our sole discretion if we determine that you have violated these Terms of Service, or if we terminate your account for any reason. Lead Credits are only valid during your CraftJack membership, and will expire upon membership termination.
- We have developed, own and maintain confidential, proprietary technology and software that determines the distribution of Leads to contractors in our network.
- YOU EXPRESSLY UNDERSTAND AND AGREE TO THE FOLLOWING LIMITATIONS:
- WE DO NOT GUARANTEE TO PROVIDE YOU WITH A PARTICULAR NUMBER OF LEADS;
- WE MAKE NO REPRESENTATIONS OR WARRANTIES AS TO A CONSUMER'S INTEREST, NEED OR DESIRE TO HIRE A CONTRACTOR OR TO HAVE ANY CONSTRUCTION SERVICES PERFORMED;
- WE DO NOT GUARANTEE THE ACCURACY OF A CONSUMER'S CONTACT INFORMATION OR THAT YOU WILL SUCCESSFULLY CONTACT THE CONSUMER.
- THE COMPANY IS NOT A PARTY TO ANY AGREEMENT THAT MIGHT BE REACHED BETWEEN YOU AND ANY CONSUMER, AND YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER TO WORK FOR, OR TO PROVIDE CONSTRUCTION SERVICES FOR, ANY CONSUMER.
- Upon Enrollment, you select the method(s) by which we deliver notification to you of Leads. You acknowledge that some delivery methods depend upon third party technology and agree that we not responsible for the interruption of such technology, or for the results therefrom, including failure to deliver notification of a Lead to you. You understand that you can check for notification of, and information about, a Lead by logging into your Account. Under no circumstances shall we be responsible for lost data relating to any Leads.
- You acknowledge that your prompt contact of Consumer for whom you have been provided a Lead is critical to our business reputation and you thus agree to use your best efforts to contact a Consumer for whom you have been provided a Lead by phone promptly after we deliver notice of such Lead to you, and you further acknowledge that your agreement to promptly contact such Consumers is a material inducement for our agreement to provide Leads to you.
- You understand that we use third party technology to track and create a record of your attempts to call by phone all Consumers for whom you have been provided a Lead and you consent to our use of such technology. Notwithstanding anything in these Terms and Conditions to the contrary, you shall not be eligible to receive any credit if you fail to attempt to contact a Consumer by phone within five (5) Business Hours of delivery of a Lead. Business Hours are defined as any hour between and including 9:00 a.m. and 5:00 p.m. in the Consumer's Service Area.
- You will only be provided with Lead for a Consumers who reside in your Service Area, and you acknowledge that we may sell each Lead with respect to a single Consumer simultaneously to up to three contractors that provide Construction Services in that Consumer's Service Area.
- Consumers may review, comment and rate your work on the Website ("Consumer Content"). We reserve the right to contact any Consumer regarding that Consumer's experience with you. You acknowledge that all Consumer Content is solely the opinion of the person posting the Consumer Content and we disclaim any and all responsibility or liability to you for all Consumer Content posted on the Website. You agree that neither you nor anyone affiliated with you or paid by you, directly or indirectly, will post false, intentionally misleading or defamatory statements in the form of Consumer Content on the Website. We shall have sole discretion whether to remove any Consumer Content.
- Any and all comments you post to the Website (collectively, "Your Comments") shall be owned solely by us, and you grant us a non-exclusive, worldwide, irrevocable, perpetual license to use any and all information and/or images you provide to us to create your Profile, including, but not limited to your name, your company's name, franchise name, photographs, trademarks, logos, trade names or service marks (all of the foregoing, including Your Comments, collectively, "Your Content") and we may use, publish or post Your Content or any part of it at our sole discretion on the Website, in your Profile or in marketing materials and you agree that you are not entitled to receive any compensation for our use of Your Content.
- You represent (i) all of Your Content is accurate and truthful; (ii) any and all photographs that become part of Your Content portray only your Construction Services; and (iii) that no part of Your Content is copyrighted or is otherwise the intellectual property of any other party, and you understand and agree that you will indemnify the Company against all claims of liability, including but not limited to legal costs and/or any judgment or award, that may arise by virtue of your violation, whether or not intentional, of this provision.
- You agree that you will not post false or defamatory statements or to violate any third party's rights, including any breach of confidence, privacy right, right of publicity, or any other rights in Your Comments on the Website. We may reject, remove or redact any of Your Content at our sole discretion.
- 4.5. You may not use any of our trademarked, service-marked or copyrighted material unless you have first been provided prior written authorization by the Company, and such consent by the Company neither conveys any interest in our intellectual property, nor any other intellectual property rights.
- You are expressly prohibited from registering any of our trademarks or domain names.
- You agree that you will not copy, display, publish, post or in any way use the Consumer Content, unless we have consented to such use.
- We may share Your Content with a third-party agent solely to contact you with Leads, and for no other purpose. We reserve the right to disclose your information to our service providers, law enforcement, or government agencies, or in responding to a formal request, such as a judicial proceeding, subpoena, or court order as we, in our sole discretion deem appropriate. In the event of a sale, merger, or acquisition of some or all of the Company's assets, Your Content may be a part of the assets transferred, in which event, we will notify you of any change in ownership of the Company, or in the use of Your Content, and any options you may have regarding Your Content. We may also share aggregated information about users of the Website with third parties.
- We own the Website Content, including but not limited to visual interfaces, interactive features, graphics, design compilation, computer code, products, software, Consumer Content, Your Comments and all other elements and components of our Service and the Website and the copyrights, trademarks, service marks, trade names, and other intellectual and proprietary rights throughout the world associated with the Company, the Website and our Service. You represent and warrant that you are enrolling in our program for the sole purpose of purchasing Leads in accordance with these Terms and Conditions, that you are not a competitor of ours, that we have not previously banned you from use of our Service or the Website and that you will not attempt to circumvent access restrictions, duplicate, create derivatives or reverse engineer the Company's confidential information, proprietary technology, system or software or any of the Website Content or our Service.
- You represent that neither you nor your predecessors in interest, majority or controlling shareholders, members, partners and/or your company ("Related Parties") have, within the most recent two years including this year, filed for bankruptcy, had a civil judgment entered against you or them or had any felony criminal conviction(s), unless you have provided to us a written statement requesting an exception which we may grant at our discretion to authorize you to enroll as a contractor on the Website.
- If at any time during your use of the Website, any of the Related Parties file(s) for bankruptcy or become(s) involved in bankruptcy proceedings, has a civil legal judgment entered against it or is convicted of a felony, you agree to notify us within seven (7) days of such occurrence.
- You represent that you are not aware of any past or present investigation of you, or action(s) or sanction(s) against you by any governmental or regulatory authority relating to services provided to your customers, that no professional industry organizations have denied or revoked your membership, that all of your licenses and insurance policies related to Construction Services are current, and that no such licensing authority has either revoked or suspended any of your licenses that are related to Construction Services. You agree to notify us of any changes to your status as represented in this paragraph, and you authorize us to verify that all of these representations are true and accurate.

- If your use of this Website terminates or expires, these Terms and Conditions shall survive with respect to any Leads provided to you during the term of this Agreement, and relationships you may create from those Leads will continue to be governed by these Terms and Conditions, including, but not limited to, any claims that may arise and your obligation to indemnify the Company.
- You agree to be liable for any and all reasonable attorneys' fees and costs that the Company incurs as a result of taking any legal action to enforce these Terms and Conditions, which shall be governed exclusively by the laws of the State of Illinois. You hereby consent and agree that Cook County, Illinois is the exclusive forum for litigation of any claim by your arising hereunder, and you submit to exclusive jurisdiction in the State of Illinois and waive any right to bring a cause of action in any forum outside of Cook County, Illinois. If any provision of these Terms and Conditions is deemed by a court or other authority of competent jurisdiction to be illegal, invalid or in conflict with any Federal or state or local law or regulation, that law or regulation shall supersede and control and any provision herein found to be illegal, invalid or in conflict shall not be enforceable.
- This agreement constitutes a non-exclusive contract to provide our Service to you and you acknowledge that we will enter into other agreements with other contractors that may be providing similar Construction Services.
- Your relationship with the Company shall be as that of an independent contractor and neither party shall hold itself out to be an agent, employee, partner or joint venturer of the other nor shall either party represent itself to have authority to act on behalf of the other.

- By enrolling in the Company's program described herein, establishing an account with us ("Enrollment"), and using our lead referral service ("our Service"), you agree to these Terms and Conditions, forming a legally binding contract with us which controls your use of our Service and the Website
- We developed and maintain this Website and other websites to obtain requests ("Leads") from individuals or entities ("Consumers") that request construction, home and building repair work or services ("Construction Services"), which Leads we sell to a network of qualified contractors who subscribe to our service. We may also obtain Leads from our affiliates or third parties, and provide your contact information, as shown in your Profile, to a Consumer.
- Upon Enrollment, you will complete our standardized Enrollment form, providing information about yourself and your company, which information you will then save to our Website. You will indicate the particular Construction Services that you are willing and able to provide, and the zip code(s) or geographic area(s) in which you are willing and able to provide Construction Services ("Service Area"). We will use such information to create your Website profile (your "Profile"). You will also register a credit card and authorize us to charge all amounts billed to you under this Agreement to such credit card.
- Upon Enrollment, we will initiate an account for you (your "Account") and, at your selection, debit your Credit Card either in the amount of four hundred dollars ($400.00), which includes $100 of free lead credit, or debit your Credit Card in the amount of one hundred dollars ($100.00), which includes no lead credit. All amounts prepaid to your Account and all credits to your Account are non-refundable.
- The purchase price of each Lead is based upon the type of Construction Services requested by a Consumer, as set forth in the pricing schedule on the Website. You will be notified of any changes to the pricing schedule not less than seven (7) days prior to the effective date of any such change. Upon Enrollment, you will select the maximum dollar value of Leads that you agree to purchase each month ("Monthly Lead Budget"). You may change your Monthly Lead Budget by modifying your Account. We will automatically provide you with Leads up to the dollar value established by you from time to time. To ensure that all funds in your account are used to purchase leads, you agree and authorize us, in our sole discretion, to provide leads for you with a value up to twenty dollars ($20) in excess of your Monthly Lead Budget. We may periodically provide discounts and incentive programs to you, the terms of which shall be limited to that particular discount or incentive program which shall not otherwise modify the terms of these Terms and Conditions.
- We will issue an invoice to you whenever your outstanding balance due on your Account exceeds Twenty Dollars ($20.00) or, in our sole discretion, some higher amount for which you shall from time to time qualify based upon your good payment history. We will also issue an invoice to you when you begin any month with a balance due. You can access an electronic statement of your Account through the Website. Past due balances will be subject to a late charge of Nine Dollars ($9.00) plus two percent (2%) per month or the maximum amount permitted by law. In addition, each returned payment shall incur a twenty dollar ($20.00) fee. We may turn over a past-due account to a third-party collection agent or counsel and file a report with credit rating agencies.
- We have no obligation to provide you with a refund or credit for any Leads, whether or nota Consumer elects to use your Construction Services. In our sole discretion, we may issue acredit to your Account, if:
- You receive one or more Leads in the wrong Construction Service category, provided, however, we may adjust the purchase price in lieu of providing a credit;
- You receive a Lead with a non-working or incorrect phone number or incorrect email address or where the Consumer provided a false name; provided, however, we will not providea credit if the Lead does not have the correct address but all other information is correct;
- We determine that the Consumer never requested to be placed in contact with a contractor or sought information through us pertaining to Construction Services; and
- Our system provided a Lead in error.
- All credits to your account shall be issued at the Company's discretion, and only if requested within seventy-two (72) hours after delivery of notification of the Lead to you. Any credit for a Lead shall be deducted from your unpaid invoice in an amount equal to the purchase price of the Lead for which the credit was requested. If the invoice for the lead for which you are requesting credit was already paid, then the credit shall be applied to the current open invoice. No credits will be issued as refunds for leads in which the invoice has already been paid. Notwithstanding any credits to your Account, you acknowledge and agree that you are obligated to pay for all Leads provided by us and credits can only be applied to the future purchase of Leads. By agreeing to these Terms and Conditions, you acknowledge and agree that you understand our refund and credit policy. Any and all fees paid by you to us constitute an advertising fee and shall not be construed to be a referral commission dependent on your successful completion of Construction Services requested by a Consumer. In the event a fee or payment is prohibited by law or violates any applicable law, it shall not be due or payable.
- Lead Credits are issued to a CraftJack member at our discretion and cannot be transferred between accounts or between users. Lead Credits cannot be bartered, exchanged or sold. Lead Credits are a promotional offer and are not payment instruments. Lead Credits are issued without any exchange of money or value from you and you have no vested property right or interest in them. Lead Credits are provided on a promotional basis only, have no cash or other value and cannot be redeemed for cash or its equivalents by themselves. We reserve the right to limit or cancel your Credits in our sole discretion if we determine that you have violated these Terms of Service, or if we terminate your account for any reason. Lead Credits are only valid during your CraftJack membership, and will expire upon membership termination.
- We have developed, own and maintain confidential, proprietary technology and software that determines the distribution of Leads to contractors in our network.
- YOU EXPRESSLY UNDERSTAND AND AGREE TO THE FOLLOWING LIMITATIONS:
- WE DO NOT GUARANTEE TO PROVIDE YOU WITH A PARTICULAR NUMBER OF LEADS;
- WE MAKE NO REPRESENTATIONS OR WARRANTIES AS TO A CONSUMER'S INTEREST, NEED OR DESIRE TO HIRE A CONTRACTOR OR TO HAVE ANY CONSTRUCTION SERVICES PERFORMED;
- WE DO NOT GUARANTEE THE ACCURACY OF A CONSUMER'S CONTACT INFORMATION OR THAT YOU WILL SUCCESSFULLY CONTACT THE CONSUMER.
- THE COMPANY IS NOT A PARTY TO ANY AGREEMENT THAT MIGHT BE REACHED BETWEEN YOU AND ANY CONSUMER, AND YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER TO WORK FOR, OR TO PROVIDE CONSTRUCTION SERVICES FOR, ANY CONSUMER.
- Upon Enrollment, you select the method(s) by which we deliver notification to you of Leads. You acknowledge that some delivery methods depend upon third party technology and agree that we not responsible for the interruption of such technology, or for the results therefrom, including failure to deliver notification of a Lead to you. You understand that you can check for notification of, and information about, a Lead by logging into your Account. Under no circumstances shall we be responsible for lost data relating to any Leads.
- You acknowledge that your prompt contact of Consumer for whom you have been provided a Lead is critical to our business reputation and you thus agree to use your best efforts to contact a Consumer for whom you have been provided a Lead by phone promptly after we deliver notice of such Lead to you, and you further acknowledge that your agreement to promptly contact such Consumers is a material inducement for our agreement to provide Leads to you.
- You understand that we use third party technology to track and create a record of your attempts to call by phone all Consumers for whom you have been provided a Lead and you consent to our use of such technology. Notwithstanding anything in these Terms and Conditions to the contrary, you shall not be eligible to receive any credit if you fail to attempt to contact a Consumer by phone within five (5) Business Hours of delivery of a Lead. Business Hours are defined as any hour between and including 9:00 a.m. and 5:00 p.m. in the Consumer's Service Area.
- You will only be provided with Lead for a Consumers who reside in your Service Area, and you acknowledge that we may sell each Lead with respect to a single Consumer simultaneously to up to three contractors that provide Construction Services in that Consumer's Service Area.
- Consumers may review, comment and rate your work on the Website ("Consumer Content"). We reserve the right to contact any Consumer regarding that Consumer's experience with you. You acknowledge that all Consumer Content is solely the opinion of the person posting the Consumer Content and we disclaim any and all responsibility or liability to you for all Consumer Content posted on the Website. You agree that neither you nor anyone affiliated with you or paid by you, directly or indirectly, will post false, intentionally misleading or defamatory statements in the form of Consumer Content on the Website. We shall have sole discretion whether to remove any Consumer Content.
- Any and all comments you post to the Website (collectively, "Your Comments") shall be owned solely by us, and you grant us a non-exclusive, worldwide, irrevocable, perpetual license to use any and all information and/or images you provide to us to create your Profile, including, but not limited to your name, your company's name, franchise name, photographs, trademarks, logos, trade names or service marks (all of the foregoing, including Your Comments, collectively, "Your Content") and we may use, publish or post Your Content or any part of it at our sole discretion on the Website, in your Profile or in marketing materials and you agree that you are not entitled to receive any compensation for our use of Your Content.
- You represent (i) all of Your Content is accurate and truthful; (ii) any and all photographs that become part of Your Content portray only your Construction Services; and (iii) that no part of Your Content is copyrighted or is otherwise the intellectual property of any other party, and you understand and agree that you will indemnify the Company against all claims of liability, including but not limited to legal costs and/or any judgment or award, that may arise by virtue of your violation, whether or not intentional, of this provision.
- You agree that you will not post false or defamatory statements or to violate any third party's rights, including any breach of confidence, privacy right, right of publicity, or any other rights in Your Comments on the Website. We may reject, remove or redact any of Your Content at our sole discretion.
- 4.5. You may not use any of our trademarked, service-marked or copyrighted material unless you have first been provided prior written authorization by the Company, and such consent by the Company neither conveys any interest in our intellectual property, nor any other intellectual property rights.
- You are expressly prohibited from registering any of our trademarks or domain names.
- You agree that you will not copy, display, publish, post or in any way use the Consumer Content, unless we have consented to such use.
- We may share Your Content with a third-party agent solely to contact you with Leads, and for no other purpose. We reserve the right to disclose your information to our service providers, law enforcement, or government agencies, or in responding to a formal request, such as a judicial proceeding, subpoena, or court order as we, in our sole discretion deem appropriate. In the event of a sale, merger, or acquisition of some or all of the Company's assets, Your Content may be a part of the assets transferred, in which event, we will notify you of any change in ownership of the Company, or in the use of Your Content, and any options you may have regarding Your Content. We may also share aggregated information about users of the Website with third parties.
- We own the Website Content, including but not limited to visual interfaces, interactive features, graphics, design compilation, computer code, products, software, Consumer Content, Your Comments and all other elements and components of our Service and the Website and the copyrights, trademarks, service marks, trade names, and other intellectual and proprietary rights throughout the world associated with the Company, the Website and our Service. You represent and warrant that you are enrolling in our program for the sole purpose of purchasing Leads in accordance with these Terms and Conditions, that you are not a competitor of ours, that we have not previously banned you from use of our Service or the Website and that you will not attempt to circumvent access restrictions, duplicate, create derivatives or reverse engineer the Company's confidential information, proprietary technology, system or software or any of the Website Content or our Service.
- You represent that neither you nor your predecessors in interest, majority or controlling shareholders, members, partners and/or your company ("Related Parties") have, within the most recent two years including this year, filed for bankruptcy, had a civil judgment entered against you or them or had any felony criminal conviction(s), unless you have provided to us a written statement requesting an exception which we may grant at our discretion to authorize you to enroll as a contractor on the Website.
- If at any time during your use of the Website, any of the Related Parties file(s) for bankruptcy or become(s) involved in bankruptcy proceedings, has a civil legal judgment entered against it or is convicted of a felony, you agree to notify us within seven (7) days of such occurrence.
- You represent that you are not aware of any past or present investigation of you, or action(s) or sanction(s) against you by any governmental or regulatory authority relating to services provided to your customers, that no professional industry organizations have denied or revoked your membership, that all of your licenses and insurance policies related to Construction Services are current, and that no such licensing authority has either revoked or suspended any of your licenses that are related to Construction Services. You agree to notify us of any changes to your status as represented in this paragraph, and you authorize us to verify that all of these representations are true and accurate.
- You agree to comply at all times with Federal, state and local laws and regulations regarding your performance of Construction Services.
- You agree not to use unethical or deceptive business practices, illegal acts, actions of wrongdoing or dishonesty including, but not limited to, charging any Consumer(s) for the fees you pay to us; charging Consumers a greater fee than your other customers for the same Construction Services.
- You agree that you will not disclose a Consumer's personal information to any third party unless that third party is your employee or subcontractor, your use of the Consumer's personal information is related only to the Construction Services requested by the Consumer, and you have obtained the Consumer's prior consent to disclose such personal information.
- You agree that only you or your representatives acting directly on your behalf will contact and provide Construction Services for any Consumers whose name was given to you as a Lead, and to notify any such representatives of these Terms and Conditions and obtain their Agreement to comply with its terms and conditions. You shall be responsible and directly liable for any representatives acting on your behalf and for any and all of their violations of these Terms and Conditions and their acts or omissions.
- You acknowledge that, except as specifically provided herein, your knowingly sharing, distributing, transferring, or selling any Leads, or the information contained therein, sold by us to you shall constitute a breach of these Terms and Conditions and may also constitute fraud and violate personal privacy rights.
- You agree to maintain accurate and current contact information in your Profile and that we not responsible for a Consumer's inability to contact you.
- YOU UNDERSTAND AND AGREE THAT THE COMPANY IS NOT A PARTY TO ANY CONTRACT OR AGREEMENT RELATED TO ANY CONSTRUCTION SERVICES THAT YOU MAY PROVIDE TO OR ON BEHALF OF ANY CONSUMER, AND YOU EXPRESSLY AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS THE COMPANY, ITS OFFICERS, DIRECTORS, SHAREHOLDERS, SUPPLIERS, PARTNERS, EMPLOYEES, AGENTS AND EACH OF THEIR SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE "INDEMNIFIED PARTIES") FROM AND AGAINST ALL CLAIMS, LIENS, DAMAGES, LIABILITIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO INTELLECTUAL PROPERTY INFRINGEMENT, PERSONAL INJURY, PROPERTY DAMAGE, DECEPTIVE BUSINESS PRACTICES, FRAUD, VIOLATION OF ANY FEDERAL, STATE OR LOCAL LAWS OR REGULATIONS, AND ATTORNEYS' FEES AND COURT COSTS RELATED IN ANY WAY TO YOUR CONSTRUCTION SERVICES WHICH ARE SUBJECT TO THESE TERMS AND CONDITIONS, INCLUDING ANY EXTRA WORK, REGARDLESS OF CAUSE OR ANY OF ITS INDEMNIFIED PARTIES' FAULT OR NEGLIGENCE AND WITHOUT REGARD TO CAUSE OR TO ANY CONCURRENT OR CONTRIBUTING FAULT, STRICT LIABILITY OR NEGLIGENCE, WHETHER SOLE, JOINT OR CONCURRENT, ACTIVE OR PASSIVE BY ANY OF THE INDEMNIFIED PARTIES. WE SHALL NOT BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, PUNITIVE OR SPECIAL DAMAGES, LOST REVENUE, LOST PROFITS OR LOSS OF GOODWILL. THE TOTAL AGGREGATE LIABILITY OF THE COMPANY SHALL NOT EXCEED THE AMOUNT OF FEES ACTUALLY PAID TO US BY YOU DURING THE IMMEDIATELY PRECEDING TWELVE (12) MONTHS, REGARDLESS OF THE BASIS OR FORM OF CLAIM.
- OUR SERVICE AND THE LEADS ARE PROVIDED TO YOU "AS IS" AND EXCEPT AS EXPRESSLY PROVIDED HEREIN, WE DISCLAIM ANY AND ALL OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. 5.12. We may amend the terms of these Terms and Conditions from time to time, and we will notify you of any amendments by making the revised version available on the Website and by sending you, via electronic mail, a copy of the amended Terms and Conditions not less than seven (7) days before the effective date of such amendment. - You may, at any time, terminate your use of this Website upon the Company's receipt of written notice and such termination shall take effect upon the close of business on the day received. If such notice is received after business hours, then the termination shall take effect the next business day. If you terminate this Agreement, you shall not be entitled to any refunds or credits to your Account or amounts prepaid to the Company.

CraftJack Consumer Terms of Use

- You represent that, if applicable, you are, as an individual, at least 18 years old and competent to enter into an agreement to use the services offered by the Company.
- After you insert your name, address telephone number and email address and the type of service you are seeking to have performed, the Company will attempt to match you with a service provider (“Contractor”) that performs services in and around your area (“Service Area”) who might wish to perform work that you need. However, the Company does not guarantee that it will locate a Contractor who is able or disposed to provide services that match your needs. While we do investigate Contractors’ qualifications, we do not make any representations or provide any guarantees for any Contractors’ skills, representations or quality of work that may be performed by any Contractor.
- While the Company’s goal is to assist you in locating a Contractor, the Company is not responsible for any of the services requested by you or the work performed on your behalf by any Contractor. The Company does not recommend or sanction any particular Contractor, as the Company is not a party to your independent agreement with a Contractor. The Contractors are not employees or agents of the Company and the Company is not an agent of the contractors. All information about Contractors is confidential and for personal use only.
- Any agreement you enter into with a Contractor is governed solely by the terms of your agreement and by applicable federal, state or local law. In the event that you have a dispute with a Contractor, that dispute must be addressed directly with the Contractor and you agree to release the Company and its officers, directors, affiliates, employees and agents as well as any other person, firm or entity including the Company’s business partners, which may include our network of Contractors, from any damages or claims of every kind arising out of or related to your agreement and/or dealings with a Contractor.
- CraftJack may, in its sole discretion, conduct criminal and/or financial background checks on individuals employed by certain Contractors. By conducting such background checks, CRAFTJACK DOES NOT WAIVE ANY OF ITS DISCLAIMERS OR LIMITATIONS OF LIABILITY, INCLUDING WITHOUT LIMITATION, THOSE SET FORTH UNDER SECTIONS 3 AND 4.
- INFORMATION YOU PROVIDE TO US/TCPA CONSENT. Upon using the Company, you will be prompted to disclose certain information about yourself and your service requirements, and you will be able to store information, such as home services records, on our website or apps. Some of this information will be sent to Contractors who will need this information to respond to your request. By providing this information to us, or by submitting a service request, you are requesting, and you expressly consent to being contacted by us and by our Contractors via phone, fax, email, mail, text (SMS) messaging, or other reasonable means, at any of your contact numbers or addresses, even if you are listed on any federal, state, provincial or other applicable "Do Not Call" list, in order that we may provide the services set forth on our site, to service your account, to reasonably address matters pertaining to your account, including but not limited to notifying you of, or confirming, appointments that you have scheduled, or for other purposes reasonably related to your service request and our business, including marketing related emails. You also authorize the Company to send you an automated prerecorded call confirming your service request, along with calls from up to four Contractors that can help you with your request to the land-line or mobile phone number you provided, and you understand that either the Company or the Contractors may use automated phone technology (including autodialed and prerecorded messages) to call you and that your consent is not required to purchase products or services. You are further giving express consent for CraftJack's contractors to contact you on any day and at any time (including Sundays/holidays and any times outside of normal time periods and/or those prescribed by applicable rules and regulations). For complete details on our use of your information, please see our privacy statement. You agree that by completing a service request, you are entering into a business relationship with the Company and/or a Contractor and thus agree to be contacted by the Company and/or a Contractor. You promise that all information you provide (including but not limited to your contact information, and any Ratings and Reviews of Contractors that you provide) will be accurate, current and truthful to the best of your knowledge. If you provide any information that is untrue, not current or incomplete, or the Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, the Company has the right to refuse any current or future use of the services (or any portion thereof) by you. You are responsible for any use of the services by persons to whom you intentionally or negligently allow access to your password.
- You agree that the website’s content is the sole property of the Company and you have no right to reproduce, disseminate or otherwise use the information for any purpose other then your personal use. We reserve the right to revoke your access to the Company’s website and its services at anytime. You agree that your current and future use of the Company’s website is solely for your personal use and not for business or marketing. In the event you misuse or attempt to misuse the Company’s website or to circumvent the Company’s services or system or attempt to utilize the Company’s website or services for non-personal, improper or commercial purposes such as hacking, fraud, marketing or spamming, the Company may terminate your access to the website immediately, without notice, as well as file a claim in Cook County, Illinois to seek an equitable remedy and/or monetary damages due to lost revenue, repairs, attorney’s fees and/or legal costs and expenses and to seek injunctions or other equitable remedies.

- You understand and acknowledge that the Company does not guarantee that it will pre-screen each Contractor and the Company makes no, and expressly disclaims any guarantees, representations or warranties whatsoever with regard to these Contractors. The Contractors are provided to you on an "as is" basis. Angie’s List, Inc. d/b/a Angi (“Angi”) helps consumers research, hire, rate, and review a variety of service contractors and health related professionals (collectively, “Service Providers”). The following Terms of Use outline your obligations when using the Angi websites, mobile applications, and services.
- violate these Terms of Use, other applicable agreement with Angi, and any applicable local, state, national or international law, and any rules and regulations having the force of law;
- use the Sites and Services in any manner that violates any relevant law or that infringes, misappropriates or violates any third party’s rights, including, but not limited to, transmitting any Content that may infringe, misappropriate or violate a third party’s rights of publicity, contractual rights, fiduciary rights or intellectual property rights;
- use the Sites and Services or its Content for any purposes not authorized by these Terms of Use, including commercial, political, or religious purposes, including the submission or transmission of any Content that contains advertisements, promotional materials, junk mail, or any other form of solicitation;
- reproduce, duplicate, copy, modify, sell, re-sell or exploit any Content or the Sites and Services for any commercial, educational, or any other non-personal purpose or any for any purpose unrelated to your personal purchasing decisions, without the express written consent of Angi, which consent may be withheld by Angi in our sole discretion;
- post irrelevant Content, repeatedly post the same or similar Content or otherwise impose an unreasonable or disproportionately large load on our infrastructure, interfere or attempt to interfere with the proper working of the Sites and Services or any activities conducted on the Sites and Services;
- harass, threaten, intimidate, impersonate, or attempt to impersonate, any other person, falsify your contact or other information, misrepresent a relationship with any person or entity, including misrepresenting a relationship with Angi, or otherwise attempt to mislead others as to the identity of the sender or the origin of a review or rating;
- knowingly provide or submit false or misleading information;
- use the Sites and Services if you are under the age of eighteen (18);
- take any action that would undermine the review and rating process under the Sites and Services;
- attempt to gain unauthorized access to the Sites and Services, other user accounts, or other computer systems or networks connected to the Sites and Services;
- use the Sites and Services in any way that could interfere with the rights of Angi or the rights of other users of the Sites and Services;
- attempt to gain unauthorized access to any portion or feature of the Sites and Services, or any other systems or networks connected to the Sites and Services or to any server used by Angi by hacking, password ‘mining’ or any other illegitimate or unauthorized means, including attempting to obtain password, account, or any other personal or private information from any other Sites and Services user;
- sell, share, or otherwise transfer your account username, password, other information, or your rights or obligations under these Terms of Use;
- transmit or submit any transmission or other materials that are encrypted or that contains viruses, Trojan horses, worms, time bombs, spiders, cancelbots or other computer programming routines that is likely or intended to damage, interfere with, disrupt, impair, disable or otherwise overburden the Sites and Services;
- access, download, monitor, or copy any information contained on our Sites and Services through artificial means (including but not limited to use any ‘deep-link’, ‘scraper’, ‘robot’, ‘spider’ or other automatic device, program, algorithm or methodology, or any similar or equivalent automatic or manual process, or in any way reproduce or circumvent the navigational structure or presentation of the Sites and Services or any content, to obtain or attempt to obtain any Content, materials, documents or information through any means not purposely made available through the Sites and Services; or
- probe, scan or test the vulnerability of the Sites and Services or any network connected to the Sites and Services, nor breach the security or authentication measures on or of the Sites and Services or any network connected to the Sites and Services. You may not reverse look-up, trace or seek to trace any information on any other user of the Sites and Services, or any other customer of Angi, including any Angi account not owned by you, to its source, or exploit the Sites and Services or any service or information made available or offered by or through the Sites and Services, in any way where the purpose is to reveal any information, including but not limited to personal identification or information other than your own information, except as expressly authorized by Angi and provided for by the Sites and Services.
- you grant to Angi a royalty free, perpetual, irrevocable, worldwide, nonexclusive, transferable, and sublicensable license to use, reproduce, copy, adapt, modify, merge, distribute, publicly display, create derivative works from, incorporate such Content into other works;
- you grant to Angi all rights necessary to publish or refrain from publishing your name and address in connection with your Content; sublicense through multiple tiers the Content, and acknowledge that this license cannot be terminated by you once your Content is submitted to the Sites and Services;
- you grant to Angi all rights necessary to prohibit the subsequent aggregation, display, copying, duplication, reproduction, distribution, or exploitation of your Content by any other party;
- your name and report information may be made available to the public and to the Service Providers on which you report;
- you represent that you own or have secured all legal rights necessary for the Content submitted by you to be used by you, Angi, and others as described and otherwise contemplated in these Terms of Use;
- you represent and warrant that each person identified, depicted, or shown in in your Content, if any, (and if a minor, the parent or guardian of the minor) has provided consent to the use of the Content consistent with these Terms of Use;
- you are solely responsible for your reviews and ratings;
- Angi may, in its sole discretion, choose to remove or not to remove reviews and ratings once published;
- you will not submit any reviews that may be considered by Angi to be infringing, harassing, libelous, abusive, threatening, obscene, profane, hateful, offensive, harmful, vulgar, distasteful, defamatory, or otherwise violates any relevant law or right of any other party, or racially, ethnically or otherwise objectionable;
- all of your reviews and ratings will either be based upon (i) your actual first-hand experiences with the Service Providers you are reviewing or (ii) as provided below, an individual and that individual’s actual first-hand experience with a health care or wellness provider whereby you have the legal authority to disclose such health information and experience of such individual;
- all of your reviews and ratings of the Service Providers that you are rating will be accurate, honest, truthful, and complete in all respects;
- you do not work for, own any interest in or serve on the board of directors of, any of the Service Providers for which you submit reviews and ratings; you are not in any way related (by blood, adoption or marriage, if the Service Provider is an individual) to any of the Service Providers for which you submit reviews or ratings;
- you have not received any form of compensation to post reviews and ratings;
- you will submit thorough and thoughtful reviews of the Service Providers you review (for example, submitting a review describing a service contractor as “He/She is great.” Without additional commentary is not a thorough and thoughtful review);
- you will not submit reviews that comment on other users or the reviews of other users;
- you will not submit reviews with hyperlinks; or
- the reviews and ratings that you provide do not reflect the views of Angi, its officers, managers, owners, employees, agents, designees or other users.
- a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
- identification of the copyrighted work or trademark claimed to have been infringed, or, if multiple copyrighted works or trademarks at a single online site are covered by a single notification, a representative list of such works at that site;
- identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
- information reasonably sufficient to permit us to contact You, such as an address, telephone number, and, if available, an electronic mail address at which You may be contacted;
- a statement that You have a good faith belief that use of the material in the manner complained of is not authorized by the copyright or trademark owner, its agent, or the law; and
- a statement that the information in the notification is accurate, and under penalty of perjury, that You are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Informal Negotiations. To expedite resolution and reduce the cost of any dispute, controversy or claim, past, present, or future, between you and Angi, including without limitation any dispute or claim related to or arising out of this Agreement ("Dispute"), you and Angi may attempt to negotiate any Dispute informally (the "Informal Negotiations") before initiating any arbitration or court proceeding. Such Informal Negotiations will commence upon written notice. Your address for any notices under this Section is your physical address that you have provided to Angi. Angi's address for such notices is: Angi, Inc., d/b/a Angi, Attn: Legal Department, 130 E. Washington St., Indianapolis, IN 46204.
- Arbitration. If a Dispute is not resolved through Informal Negotiations, you and Angi agree to resolve any and all Disputes (except those Disputes expressly excluded below) through final and binding arbitration ("Arbitration Agreement"). This Arbitration Agreement shall be governed by the Federal Arbitration Act and evidences a transaction involving commerce. The arbitration will be commenced and conducted before a single arbitrator under the Commercial Arbitration Rules (the "AAA Rules") of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website (www.adr.org). Your arbitration fees and your share of arbitrator compensation will be governed by the AAA Rules (and, where appropriate, limited by the AAA Consumer Rules). If you are unable to pay such costs, Angi will pay all arbitration fees and expenses. Each party will pay the fees for his/her or its own attorneys, subject to any remedies to which that party may later be entitled under applicable law. The arbitrator will make a decision in writing. Additionally, the arbitrator, and not any federal, state, or local court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement. However, the preceding sentence shall not apply to the "Class Action Waiver" described in Subsection (4) below.
- Excluded Disputes. You and Angi agree that the following Disputes are excluded from this Arbitration Agreement: (1) any Dispute seeking to enforce or protect, or concerning the validity of, any of your or our intellectual property rights; (2) individual claims in small claims court; (3) any claim that an applicable federal statute expressly states cannot be arbitrated; and (4) any claim for injunctive relief.
- WAIVER OF RIGHT TO BE A PLAINTIFF OR CLASS MEMBER IN A CLASS ACTION. To fullest extent permitted by applicable law, You and Angi agree to bring any Dispute in arbitration on an individual basis only, and not as a class or collective action. There will be no right or authority for any Dispute to be brought, heard or arbitrated as a class or collective action ("Class Action Waiver"). Regardless of anything else in this Arbitration Agreement and/or the applicable AAA Rules or AAA Consumer Rules, the interpretation, applicability, enforceability or formation of the Class Action Waiver may only be determined by a court and not an arbitrator.
- Rules/Standards Governing Arbitration Proceeding. A party who wishes to arbitrate a Dispute covered by this Arbitration Agreement must initiate an arbitration proceeding no later than the expiration of the statute of limitations that applicable law prescribes for the claim asserted. The arbitrator shall apply the statute of limitations that would have applied if the Dispute had been brought in court. The arbitrator may award any remedy to which a party is entitled under applicable law, but remedies shall be limited to those that would be available to a party in their individual capacity, and no remedies that otherwise would be available to an individual under applicable law will be forfeited. The arbitrator is without authority to apply any different substantive law. The parties have the right to conduct adequate civil discovery and present witnesses and evidence as needed to present their cases and defenses, and any dispute in this regard shall be decided by the arbitrator. The location of the arbitration proceeding shall take place in the city or county where you reside, unless each party agrees otherwise. A court of competent jurisdiction shall have the authority to enter judgment upon the arbitrator's decision/award.
- Severability. You and Angi agree that if any portion of this Section entitled "Mutual Arbitration Agreement" is found illegal or unenforceable, that portion will be severed, and the remainder of this Section will be given full force and effect.

Angie’s List, Inc. d/b/a Angi (“Angi”) helps consumers research, hire, rate, and review a variety of service contractors and health related professionals (collectively, “Service Providers”). The following Terms of Use outline your obligations when using the Angi websites, mobile applications, and services.
- violate these Terms of Use, other applicable agreement with Angi, and any applicable local, state, national or international law, and any rules and regulations having the force of law;
- use the Sites and Services in any manner that violates any relevant law or that infringes, misappropriates or violates any third party’s rights, including, but not limited to, transmitting any Content that may infringe, misappropriate or violate a third party’s rights of publicity, contractual rights, fiduciary rights or intellectual property rights;

- harass, threaten, intimidate, impersonate, or attempt to impersonate, any other person, falsify your contact or other information, misrepresent a relationship with any person or entity, including misrepresenting a relationship with Angi, or otherwise attempt to mislead others as to the identity of the sender or the origin of a review or rating;
- knowingly provide or submit false or misleading information;
- use the Sites and Services if you are under the age of eighteen (18);
- take any action that would undermine the review and rating process under the Sites and Services;
- attempt to gain unauthorized access to the Sites and Services, other user accounts, or other computer systems or networks connected to the Sites and Services;
- use the Sites and Services in any way that could interfere with the rights of Angi or the rights of other users of the Sites and Services;
- attempt to gain unauthorized access to any portion or feature of the Sites and Services, or any other systems or networks connected to the Sites and Services or to any server used by Angi by hacking, password ‘mining’ or any other illegitimate or unauthorized means, including attempting to obtain password, account, or any other personal or private information from any other Sites and Services user;
- sell, share, or otherwise transfer your account username, password, other information, or your rights or obligations under these Terms of Use;
- transmit or submit any transmission or other materials that are encrypted or that contains viruses, Trojan horses, worms, time bombs, spiders, cancelbots or other computer programming routines that is likely or intended to damage, interfere with, disrupt, impair, disable or otherwise overburden the Sites and Services;
- access, download, monitor, or copy any information contained on our Sites and Services through artificial means (including but not limited to use any ‘deep-link’, ‘scraper’, ‘robot’, ‘spider’ or other automatic device, program, algorithm or methodology, or any similar or equivalent automatic or manual process, or in any way reproduce or circumvent the navigational structure or presentation of the Sites and Services or any content, to obtain or attempt to obtain any Content, materials, documents or information through any means not purposely made available through the Sites and Services; or
- probe, scan or test the vulnerability of the Sites and Services or any network connected to the Sites and Services, nor breach the security or authentication measures on or of the Sites and Services or any network connected to the Sites and Services. You may not reverse look-up, trace or seek to trace any information on any other user of the Sites and Services, or any other customer of Angi, including any Angi account not owned by you, to its source, or exploit the Sites and Services or any service or information made available or offered by or through the Sites and Services, in any way where the purpose is to reveal any information, including but not limited to personal identification or information other than your own information, except as expressly authorized by Angi and provided for by the Sites and Services.
- you grant to Angi a royalty free, perpetual, irrevocable, worldwide, nonexclusive, transferable, and sublicensable license to use, reproduce, copy, adapt, modify, merge, distribute, publicly display, create derivative works from, incorporate such Content into other works;
- you grant to Angi all rights necessary to publish or refrain from publishing your name and address in connection with your Content; sublicense through multiple tiers the Content, and acknowledge that this license cannot be terminated by you once your Content is submitted to the Sites and Services;
- you grant to Angi all rights necessary to prohibit the subsequent aggregation, display, copying, duplication, reproduction, distribution, or exploitation of your Content by any other party;
- your name and report information may be made available to the public and to the Service Providers on which you report;
- you represent that you own or have secured all legal rights necessary for the Content submitted by you to be used by you, Angi, and others as described and otherwise contemplated in these Terms of Use;
- you represent and warrant that each person identified, depicted, or shown in in your Content, if any, (and if a minor, the parent or guardian of the minor) has provided consent to the use of the Content consistent with these Terms of Use;
- you are solely responsible for your reviews and ratings;
- Angi may, in its sole discretion, choose to remove or not to remove reviews and ratings once published;
- you will not submit any reviews that may be considered by Angi to be infringing, harassing, libelous, abusive, threatening, obscene, profane, hateful, offensive, harmful, vulgar, distasteful, defamatory, or otherwise violates any relevant law or right of any other party, or racially, ethnically or otherwise objectionable;
- all of your reviews and ratings will either be based upon (i) your actual first-hand experiences with the Service Providers you are reviewing or (ii) as provided below, an individual and that individual’s actual first-hand experience with a health care or wellness provider whereby you have the legal authority to disclose such health information and experience of such individual;
- all of your reviews and ratings of the Service Providers that you are rating will be accurate, honest, truthful, and complete in all respects;
- you do not work for, own any interest in or serve on the board of directors of, any of the Service Providers for which you submit reviews and ratings; you are not in any way related (by blood, adoption or marriage, if the Service Provider is an individual) to any of the Service Providers for which you submit reviews or ratings;
- you have not received any form of compensation to post reviews and ratings;
- you will submit thorough and thoughtful reviews of the Service Providers you review (for example, submitting a review describing a service contractor as “He/She is great.” Without additional commentary is not a thorough and thoughtful review);
- you will not submit reviews that comment on other users or the reviews of other users;
- you will not submit reviews with hyperlinks; or
- the reviews and ratings that you provide do not reflect the views of Angi, its officers, managers, owners, employees, agents, designees or other users.
- a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
- identification of the copyrighted work or trademark claimed to have been infringed, or, if multiple copyrighted works or trademarks at a single online site are covered by a single notification, a representative list of such works at that site;
- identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
- information reasonably sufficient to permit us to contact You, such as an address, telephone number, and, if available, an electronic mail address at which You may be contacted;
- a statement that You have a good faith belief that use of the material in the manner complained of is not authorized by the copyright or trademark owner, its agent, or the law; and
- a statement that the information in the notification is accurate, and under penalty of perjury, that You are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Informal Negotiations. To expedite resolution and reduce the cost of any dispute, controversy or claim, past, present, or future, between you and Angi, including without limitation any dispute or claim related to or arising out of this Agreement ("Dispute"), you and Angi may attempt to negotiate any Dispute informally (the "Informal Negotiations") before initiating any arbitration or court proceeding. Such Informal Negotiations will commence upon written notice. Your address for any notices under this Section is your physical address that you have provided to Angi. Angi's address for such notices is: Angi, Inc., d/b/a Angi, Attn: Legal Department, 130 E. Washington St., Indianapolis, IN 46204.
- Arbitration. If a Dispute is not resolved through Informal Negotiations, you and Angi agree to resolve any and all Disputes (except those Disputes expressly excluded below) through final and binding arbitration ("Arbitration Agreement"). This Arbitration Agreement shall be governed by the Federal Arbitration Act and evidences a transaction involving commerce. The arbitration will be commenced and conducted before a single arbitrator under the Commercial Arbitration Rules (the "AAA Rules") of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website (www.adr.org). Your arbitration fees and your share of arbitrator compensation will be governed by the AAA Rules (and, where appropriate, limited by the AAA Consumer Rules). If you are unable to pay such costs, Angi will pay all arbitration fees and expenses. Each party will pay the fees for his/her or its own attorneys, subject to any remedies to which that party may later be entitled under applicable law. The arbitrator will make a decision in writing. Additionally, the arbitrator, and not any federal, state, or local court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement. However, the preceding sentence shall not apply to the "Class Action Waiver" described in Subsection (4) below.
- Excluded Disputes. You and Angi agree that the following Disputes are excluded from this Arbitration Agreement: (1) any Dispute seeking to enforce or protect, or concerning the validity of, any of your or our intellectual property rights; (2) individual claims in small claims court; (3) any claim that an applicable federal statute expressly states cannot be arbitrated; and (4) any claim for injunctive relief.
- WAIVER OF RIGHT TO BE A PLAINTIFF OR CLASS MEMBER IN A CLASS ACTION. To fullest extent permitted by applicable law, You and Angi agree to bring any Dispute in arbitration on an individual basis only, and not as a class or collective action. There will be no right or authority for any Dispute to be brought, heard or arbitrated as a class or collective action ("Class Action Waiver"). Regardless of anything else in this Arbitration Agreement and/or the applicable AAA Rules or AAA Consumer Rules, the interpretation, applicability, enforceability or formation of the Class Action Waiver may only be determined by a court and not an arbitrator.

A party who wishes to arbitrate a Dispute covered by this Arbitration Agreement must initiate an arbitration proceeding no later than the expiration of the statute of limitations that applicable law prescribes for the claim asserted. - you will not submit any reviews that may be considered by Angie’s List to be infringing, harassing, libelous, abusive, threatening, obscene, profane, hateful, offensive, harmful, vulgar, distasteful, defamatory, or otherwise violates any relevant law or right of any other party, or racially, ethnically or otherwise objectionable;
- all of your reviews and ratings will either be based upon (i) your actual first-hand experiences with the Service Providers you are reviewing or (ii) as provided below, an individual and that individual’s actual first-hand experience with a health care or wellness provider whereby you have the legal authority to disclose such health information and experience of such individual;
- all of your reviews and ratings of the Service Providers that you are rating will be accurate, honest, truthful, and complete in all respects;
- you do not work for, own any interest in or serve on the board of directors of, any of the Service Providers for which you submit reviews and ratings; you are not in any way related (by blood, adoption or marriage, if the Service Provider is an individual) to any of the Service Providers for which you submit reviews or ratings;
- you have not received any form of compensation to post reviews and ratings;
- you will submit thorough and thoughtful reviews of the Service Providers you review (for example, submitting a review describing a service contractor as “He/She is great.” Without additional commentary is not a thorough and thoughtful review);
- you will not submit reviews that comment on other users or the reviews of other users;
- you will not submit reviews with hyperlinks; or
- the reviews and ratings that you provide do not reflect the views of Angie’s List, its officers, managers, owners, employees, agents, designees or other users.

- identification of the copyrighted work or trademark claimed to have been infringed, or, if multiple copyrighted works or trademarks at a single online site are covered by a single notification, a representative list of such works at that site;

- a statement that You have a good faith belief that use of the material in the manner complained of is not authorized by the copyright or trademark owner, its agent, or the law; and

- If you post Content in violation of these Terms of Use, you agree to promptly pay Angie’s List One Thousand Dollars ($1,000) for each item of Content posted in violation of these Terms of Use. We may (but shall not be required to) to issue you a warning before assessing damages.
- If you display, copy, duplicate, reproduce, sell, re-sell or exploit for any purpose any Content in violation of these Terms of Use, you agree to pay One Hundred Dollars ($100) for each record or report that you displayed, copied, duplicated, reproduced, sold, re-sold or exploited for any purpose.
- If you use computer programming routines that are intended to aggregate records or reports from the Sites and Services or otherwise damage, interfere with, disrupt, impair, disable or otherwise overburden the Sites and Services, you agree to pay One Hundred Dollars ($100) for each report or record that is aggregated, disrupted, damaged or otherwise affected by you.
- Except as set forth in the foregoing subparagraphs (a) through (c), inclusive, you agree to pay the actual damages suffered by Angie’s List, including, but not limited to attorneys’ fees and court costs, to the extent such actual damages can be reasonably calculated. Notwithstanding any other provision of these Terms of Use, we reserve the right to seek the remedy of specific performance of any term contained herein, or a preliminary or permanent injunction against the breach of any such term or in aid of the exercise of any power granted in these Terms of Use, or any combination thereof.

- harass, threaten, intimidate, impersonate, or attempt to impersonate, any other person, falsify your contact or other information, misrepresent a relationship with any person or entity, including misrepresenting a relationship with Angie’s List, or otherwise attempt to mislead others as to the identity of the sender or the origin of a review or rating;
- knowingly provide or submit false or misleading information;
- use the Sites and Services if you are under the age of eighteen (18);
- take any action that would undermine the review and rating process under the Sites and Services;
- attempt to gain unauthorized access to the Sites and Services, other user accounts, or other computer systems or networks connected to the Sites and Services;
- use the Sites and Services in any way that could interfere with the rights of Angie’s List or the rights of other users of the Sites and Services;
- attempt to gain unauthorized access to any portion or feature of the Sites and Services, or any other systems or networks connected to the Sites and Services or to any server used by Angie’s List by hacking, password ‘mining’ or any other illegitimate or unauthorized means, including attempting to obtain password, account, or any other personal or private information from any other Sites and Services user;

Notice of Financial Incentive
Angi has adopted this Biometric Data Policy and Notice (this "BDP") to govern the treatment of Biometric Data received from individuals who use our Site or Services. This BDP applies to all Angi employees, agents, and representatives, including any contractor or third-party service provider of Angi’s ("Third-Party Service Provider") who have access to Biometric Data on behalf of the Angi. This BDP applies to all Biometric Data collected, maintained, transmitted, stored, retained, or otherwise used by Angi.
Definitions
"Biometric Data" means collectively all Biometric Identifiers and Biometric Information.
"Biometric Identifiers" means: Voiceprints and/or Scans of hand or face geometry. Biometric Identifiers do not include: Writing samples and written signatures; Photographs; Human biological samples used for valid scientific testing or screening; Demographic data; Tattoo descriptions; Physical descriptors, such as height, weight, hair color; or eye color.
"Biometric Information" means information, regardless of how it is captured, converted, stored, or shared, that is based on a Biometric Identifier. Biometric Data does not include information derived from items or procedures excluded under the definition of Biometric Identifiers.
Biometric Data Collection
Angi and its partners and providers collect, store, and use photographs that may contain biometric information such as hand or face geometry for purposes of home service task identification. Before collecting Biometric Data from any individual, Angi will obtain the individual's written consent to the collection.
In circumstances where Angi collects Biometric Data, Angi will permanently destroy an individual's Biometric Data upon completion of the initial purpose for collecting or obtaining such Biometric Data.
Biometric Data Security and Disclosures
Angi shall use a reasonable standard of care to store, transmit and protect from disclosure any paper or electronic Biometric Data collected.
Subject to individual consent, Angi may disclose an individual's Biometric Data to its third-party vendors and/or licensees in order to facilitate the home services task identification.
Angi prohibits any further disclosure or re-disclosure of Biometric Data unless: the individual or the individual's legally authorized representative consents to the disclosure; the disclosure is required by applicable law or regulation; or the disclosure is required pursuant to a valid warrant or subpoena issued by a court of competent jurisdiction.
Angi does not sell, lease, trade, or otherwise profit from Biometric Data.
